End User Licence Agreement (EULA)

1. Agreement to Terms

This End User Licence Agreement ("EULA") is a legal agreement between you ("User") and Hedex SOFTWARE LTD ("Licensor"), a company registered in England & Wales (Company No. 15324958), for the use of software products distributed under the TechDeck brand.

By installing, copying, or using the software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the software.

2. Licence Grant

Subject to the terms of this EULA, the Licensor grants you a limited, non-exclusive, non-transferable licence to:

  • Install and use the software on a single computer or device
  • Make one backup copy of the software for archival purposes
  • Use the software for personal or internal business purposes

3. Restrictions

You may NOT:

  • Copy, modify, or distribute the software except as expressly permitted
  • Reverse engineer, decompile, or disassemble the software
  • Rent, lease, lend, or sublicence the software
  • Remove any proprietary notices or labels on the software
  • Use the software for any unlawful purpose
  • Transfer your licence to another person without our written consent

4. Intellectual Property

The software is protected by copyright laws and international treaties. The Licensor retains all intellectual property rights in the software, including all copies, modifications, and derivative works. This EULA does not grant you any rights to trademarks or service marks of the Licensor.

5. Updates and Support

The Licensor may provide updates, patches, or new versions of the software at its discretion. Such updates may be subject to additional or different terms. Support services, if any, are provided as described on the TechDeck website and may be modified or discontinued at any time.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE.

8. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must destroy all copies of the software in your possession.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.
